1. INTRODUCTION

These Terms & Conditions (“Terms”) govern your use of the GOAL mobile application (“App”),

developed and owned by Intellect Software Solutions Pvt. Ltd. (“Company”, “We”, “Us”, “Our”).

By downloading, installing, accessing, or using GOAL, you (“User”) acknowledge that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, discontinue use of the App immediately.

2. NATURE OF THE APPLICATION

GOAL is exclusively a mobile-based algorithmic trading execution platform that enables Users to:

Configure pre-built trading strategies
Automate order execution through supported brokers
Monitor trades and manage positions
UUse execution tools, risk controls, and automation features

GOAL is NOT:

A portfolio management service (PMS)
An investment advisory service
A research analyst service
A brokerage or financial intermediary

The App performs trades ONLY based on user-configured inputs and broker connectivity.

3. ELIGIBILITY

By using the App, you confirm that:

You are at least 18 years of age
You have a valid trading account with a supported broker
You are competent to enter a legally binding contract
You are solely responsible for complying with all applicable laws

4. USER ACCOUNT REGISTRATION AND SECURITY

Users access GOAL using:

A GOAL account created using email/password
Broker API / access tokens linked within the App

You agree to:

Maintain confidentiality of login credentials
Not share your account with any third party
Immediately notify us of any unauthorized usage
Understand that all orders fired once logged in are deemed authorized by you

The Company shall not be liable for losses arising due to compromised credentials, user negligence, device misuse, or unauthorized access on your end.

5. LICENSE TO USE THE APPLICATION

The Company grants you a limited, non-transferable, revocable, non-exclusive license to:

Use the GOAL mobile app for personal trading automation
View and use App content for non-commercial purposes

You MAY NOT:

Copy, modify, duplicate, or reverse-engineer any part of the App
Extract or scrape App data manually or via automation
Use GOAL for unlawful purposes
Resell or sub-license the App or its features
tamper with, bypass, or disable any App security mechanism

All rights not expressly granted to you are reserved by the Company.

6. INTELLECTUAL PROPERTY RIGHTS

All content within the App—including software, UI/UX, algorithms, workflows, designs, images, documentation, brand names, and trade secrets—is the exclusive intellectual property of Intellect Software Solutions Pvt. Ltd.

Unauthorized reproduction or distribution will result in legal action, including claims for damages, injunctions, and prosecution under applicable laws.

7. PROHIBITION OF DATA MINING AND SCRAPING

Automated or manual collection, scraping, mining, harvesting, or extraction of data from GOAL is strictly prohibited.

Violation of this clause may result in:

Immediate account termination

Legal proceedings for damages

Criminal complaint under applicable IT laws

8. ALGO TRADING EXECUTION & BROKER DEPENDENCY

GOAL automates orders strictly based on user configurations.

Broker API availability
Market volatility
Network stability
Exchange systems
Device performance

Order execution at desired prices
System uptime or uninterrupted access
Profitability or accuracy of execution
Freedom from technical glitches, delays, or failures

You acknowledge that the Company is not responsible for:

API downtime

Slippage

Delayed orders

Missed orders

Partial fills

Broker-side failures

9. SEBI COMPLIANCE – CAVEAT EMPTOR

The Company is NOT:

SEBI-registered as PMS

SEBI-registered as Investment Advisor

SEBI-registered as Research Analyst

GOAL is strictly a technology platform.

Users are solely responsible for:

Ensuring legal compliance

Verifying credentials of any third-party signal provider (if applicable)

Conducting due diligence before executing trades

All trading decisions are the User’s own.

10. RISK DISCLOSURE

Trading in the stock market involves substantial risk, including total loss of capital.

Market volatility
Execution delays
Internet failure
Device malfunction
Liquidity issues
Price slippage
System downtime
Exchange outages

Past performance does NOT guarantee future results.

Financial loss or damages
Incorrect or delayed execution
Loss of profits
Missed opportunities

Users should trade only with capital they can afford to lose.

11. SERVICE INTERRUPTIONS & FORCE MAJEURE

GOAL may temporarily suspend or limit access for:

Maintenance

Upgrades

System updates

Technical issues

ISP failures
Broker outages
Exchange downtime
Natural disasters
War, riots, strikes, or political instability
Server overload
Hardware failure

12. SUBSCRIPTION, PAYMENTS & REFUND POLICY

Subscription to GOAL is based on purchased plans.

Payment once made is strictly NON-REFUNDABLE under ALL circumstances.

No refunds are issued for partial usage, discontinuation, or user errors.

Subscription fees may be revised without notice.

13. LIMITATION OF LIABILITY

To the maximum extent permitted by law, the Company shall not be liable for:

Any direct, indirect, incidental, consequential, or punitive damages

Loss of trading capital or opportunity

App unavailability

Unauthorized access or use

Errors arising from third-party services

Maximum liability (if any) is strictly limited to the subscription fee paid.

14. INDEMNIFICATION

You agree to indemnify and hold harmless the Company, its directors, employees, affiliates, and partners from any claims, damages, losses, or legal expenses arising from:

Your use or misuse of the App

Your trading decisions

Violation of these Terms

Unauthorized access using your credentials

15. TERMINATION OF ACCESS

We may terminate or suspend your access without notice if:

You violate these Terms

Illegal or fraudulent activity is detected

App misuse is observed

Account security is compromised

16. DISCLAIMER – NO INVESTMENT ADVICE

Provide investment advice
Recommend buy/sell trades
Predict market outcomes
Guarantee profitability

Demonstrations, examples, or illustrations are for educational purposes only.

Users are solely responsible for decisions made using the App.

17. ENTIRE AGREEMENT

These Terms constitute the entire agreement between the User and the Company and supersede any prior verbal or written agreements.

18. GOVERNING LAW & JURISDICTION

These Terms are governed by Indian law.

Any disputes shall be subject to the exclusive jurisdiction of courts in Mumbai, Maharashtra.
